Alisa Won concentrates her practice in the corporate securities area.

Ms. Won represents emerging and established companies in financing and merger and acquisition transactions, both public and private. Ms. Won also has extensive experience representing community and regional banks in merger and regulatory issues. She regularly counsels senior management and boards of directors on fiduciary, governance, and disclosure issues. Prior to joining Sideman & Bancroft LLP, she was a partner in the corporate department of Winston & Strawn LLP from 2005 to 2011.

Ms. Won's representations include clients in software, e-commerce, digital media, medical devices, energy, consumer products, and financial services.

  • Representation of Kongregate Inc., a free-to-play social game aggregation site and community of gamers, in its sale to GameStop Corp.
  • Representation of Ruleburst Holdings Limited, the parent company of Haley Limited, a leading provider of policy modeling and automation software for legislative and regulated industries in its sale to Oracle Corporation.
  • Representation of Bharosa Inc., a leading provider of fraud prevention and strong authentication security solutions, in its sale to Oracle Corporation.
  • Representation of Kurant Corporation, a leading provider of e-business software for small and medium-sized businesses, in its sale to eBay.
  • Representation of TVM Group, Inc. dba Elcon Products, a provider of power connectors and interconnect systems for computer and telecom businesses, in its sale to Tyco Electronics.
  • Representation of Cable & Wireless Internet Services, Inc., formerly a supplier of Internet, data, and voice solutions, in its option to acquire SiteLite Holdings, Inc.
  • Representation of MetroWave Communications, Inc. (d/b/a OpticWave Communications, Inc.), a designer and manufacturer of components for the fiber optic telecommunications industry, in its sale to IPG Photonics Corporation.

  • Representation of MaxPoint Interactive, Inc., an online advertising targeting technology service, in its Series B financing.
  • Representation of founder and CEO of MotoSports, Inc., a leader in the motorcycle parts, accessories, and apparel industry, in his investment in a recapitalization of the company.
  • Representation of Kongregate Inc., a web game startup and developer forum, in multiple equity financings.
  • Representation of Black Bag Advertising, Inc., a performance and analytics-driven digital ad agency, in its corporate reorganization.
  • Representation of Advanced Power Projects, Inc., provider of plant optimization products and services and development, construction, operation and maintenance for the power industry, in its Series A financing.
  • Representation of Jimmyjane, Inc., a luxury lifestyle brand consumer products company, in multiple equity financings.
Professional Involvement

Ms. Won is an Advisory Trustee to the May Treat Morrison Chamber Music Foundation. She is also a member of the Board of Directors of San Francisco Classical Voice.
