Polly Dinkel concentrates her practice on representing business entities and individuals in a broad range of commercial, corporate, and intellectual property transactions. Her clients have included global industry leaders and regional emerging companies in the computer and networking, e-commerce, communications, health care, biotech and design industries, among others, as well as investors and executives in those businesses.
Ms. Dinkel advises private companies (especially technology companies) on corporate and securities matters through all stages of their life cycles, from formation to financing to disposition. Her expertise includes advising business founders in regard to choice of entity, capitalization, and incentive compensation; representing private companies in venture capital and other private financing transactions; handling company mergers, stock and asset acquisitions and divestitures; and negotiating joint venture agreements and other strategic alliances.
Ms. Dinkel also represents public and private companies and individuals in intellectual property, commercial and business transactions, including software, copyright, patent and trademark licensing; technology development and professional services arrangements; distribution and reselling of products and services; transactions supporting web business and e-commerce relationships; executive employment arrangements; technology transfer transactions; and systems procurement and integration transactions. She advises clients in all aspects of intellectual property protection, and conducts intellectual property audits and due diligence reviews in connection with mergers, acquisitions and financing transactions.
Ms. Dinkel works closely with the firm’s Tax and Estate Planning group in connection with formation and counseling of closely-held entities and tax-exempt organizations, with business succession planning, and with operations of charitable foundations, including grant-making.
Before joining Sideman & Bancroft LLP, Ms. Dinkel was a partner at Tomlinson Zisko LLP and, before that, a partner at Preston Gates & Ellis LLP.
During law school, Ms. Dinkel served as an extern to Justice Frank K. Richardson of the California Supreme Court.
