Polly Dinkel concentrates her practice on representing business entities and individuals in a broad range of intellectual property, commercial, and corporate transactions. Her clients have included global industry leaders and regional emerging companies in the computer and networking, e-commerce, communications, entertainment, health care, medical devices, energy, professional services, and consumer products industries, among others, as well as investors and executives in those businesses.

Ms. Dinkel represents public and private companies and individuals in intellectual property, commercial and business transactions, including software, copyright, patent and trademark licensing; technology development and professional services arrangements; distribution and reselling of products and services; transactions supporting web business and e-commerce relationships; executive employment arrangements; technology transfer transactions; and systems procurement and integration transactions. She conducts intellectual property audits and due diligence reviews in connection with mergers, acquisitions and financing transactions.

Ms. Dinkel advises businesses and individuals on matters involving protection and enforcement of their copyrights, trademarks, trade secrets, rights in domain names, rights of publicity and related rights, coordinating with the firm’s litigation attorneys as needed.  Ms. Dinkel also assists clients with regard to legal compliance and best practices governing conduct of business in the digital realm, particularly with regard to privacy, data protection, and social media.

Ms. Dinkel also advises private companies on corporate and securities matters through all stages of their life cycles, from formation to financing to disposition. Her expertise includes advising business founders in regard to choice of entity, capitalization, and incentive compensation; representing private companies in venture capital and other private financing transactions; handling company mergers, stock and asset acquisitions and divestitures; and negotiating joint venture agreements and other strategic alliances.

Prior to joining Sideman & Bancroft LLP, Ms. Dinkel was a partner at Tomlinson Zisko LLP and, before that, a partner at Preston Gates & Ellis LLP.

  • Trademark and IP counsel to Cedar Ridge Apple Ranch, LLC, producer and seller of the Indigeny Reserve line of alcoholic and nonalcoholic beverages

  • Counsel to a well-known California winery in relation to claims against a former employee for trade dress infringement, trademark infringement and passing off, copyright infringement, theft of trade secrets, and breach of contract
  • Management of domestic and international trademark enforcement matters, including counseling, watch service monitoring, web monitoring, investigation, cease and desist demands, TTAB proceedings, litigation, and settlement negotiation, for Incase Designs Corp., a developer of personal electronics accessories
  • Representation of Testarossa Vineyards, LLC, a California producer of award-winning Chardonnays and Pinot Noirs, in an action for trademark infringement against an Italian winery and its U.S. importers

  • Representation of the lead private equity investor in OluKai, LLC, a designer and manufacturer of Hawaiian-inspired luxury footwear, in multiple investments
  • Representation of Silicon Frontline Technology, Inc., an electronic design automation (EDA) product development company, in its Series A financing
Professional Involvement

Ms. Dinkel is on the Advisory Board of the San Francisco Intellectual Property Law Association (SFIPLA). She is also a member of the International Trademark Association (INTA), and the Business and Intellectual Property Sections of the State Bar of California.

During law school, Ms. Dinkel served as an extern to Justice Frank K. Richardson of the California Supreme Court.
