Notice Regarding Use of Generative Artificial Intelligence Tools

I.   Client Use of Firm Work Product with AI Tools

            Clients should carefully assess the risks before inputting, uploading, or sharing Firm communications, documents, or work product with AI or automated tools. The Firm’s engagement language does not prohibit client use of AI tools, but a client’s use of AI with Firm materials, communications, or documents remains entirely at the client’s risk and may:

            1. Affect Attorney-Client Privilege – Sharing confidential materials with third-party AI platforms could be interpreted as disclosure to non-attorneys and may result in a waiver of privilege.

            2. Raise Engagement Considerations – Although the Firm does not prohibit clients from using AI tools, using Firm work product outside the purpose of the engagement may implicate the risks identified in the engagement letter and may be inconsistent with authorized use of Firm materials.

            3. Expose Sensitive Information – AI platforms may retain or process uploaded content in ways beyond the client’s control.

            Clients should seek the Firm’s guidance before using any Firm-provided materials with AI tools. The Firm does not assume responsibility for any loss of confidentiality or privilege resulting from a client’s use of those tools.

II.   Risks of Generative AI Tools, Use of GenAI Output, and Approval Process 

            The Firm’s use of AI tools presents risks that require oversight. Generative AI systems may produce inaccurate, incomplete, or misleading output, including erroneous factual statements or citations. Third-party technology platforms may also present confidentiality, privacy, and information-security risks. Some AI providers may seek to use submitted inputs or outputs to improve their systems unless contractual or technical restrictions apply, and the Firm may not be able to independently verify every provider representation about how submitted inputs or outputs will be used.

            To mitigate these risks, the Firm uses approved tools subject to internal review, access controls, and vendor-management procedures designed to protect confidential information and limit unauthorized use or disclosure. The Firm also takes reasonable steps, where available and appropriate, to restrict vendor use of Firm and client data for model training or product improvement. No output generated with the assistance of AI tools will be relied upon or incorporated into client-facing work product, court filings, or legal advice without review and verification by Firm attorneys or other appropriate personnel.

III.  Compliance with Outside Counsel Guidance

            The Firm will seek to comply with applicable client outside counsel guidelines, engagement terms, and matter-specific instructions concerning the use of generative artificial intelligence tools, to the extent those requirements are or have been communicated to the Firm in writing and accepted by the Firm in writing.
